1. Agreement to Terms
By accessing or using the website https://mdmsolutions.biz and/or engaging the services of MDM Solutions, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our website or services.
2. Services
MDM Solutions provides web development, mobile app development, web application development, desktop application development, WordPress & Moodle development, digital marketing, and related technology consulting services. The specific scope, deliverables, timeline, and pricing for each project will be defined in a separate project proposal or statement of work agreed upon by both parties.
3. Project Proposals & Acceptance
All project engagements begin with a written proposal or statement of work that outlines:
- Scope of work and deliverables
- Project timeline and milestones
- Pricing, payment schedule, and terms
- Revision and feedback processes
- Acceptance criteria
A project is considered accepted when the client provides written approval (email or signed document) and the initial payment is received.
4. Payment Terms
- Payment schedules are defined in each project proposal, typically structured as milestone-based payments
- A non-refundable deposit (typically 30-50%) is required before work begins
- Invoices are due within 7 days of issuance unless otherwise agreed
- Late payments may incur a 2% monthly interest charge and may result in work suspension
- All prices are quoted in the currency specified in the proposal and are exclusive of applicable taxes
5. Client Responsibilities
To ensure successful project delivery, the client agrees to:
- Provide all necessary content, assets, credentials, and information in a timely manner
- Designate a primary point of contact for communication and approvals
- Provide feedback and approvals within agreed-upon timeframes
- Ensure all provided content does not infringe on third-party intellectual property rights
Delays caused by the client may result in adjusted timelines and may incur additional charges.
6. Intellectual Property
- Upon full payment, the client receives full ownership of all custom code, designs, and deliverables created specifically for their project
- MDM Solutions retains the right to use general-purpose code, libraries, frameworks, and tools developed independently
- Third-party assets (stock images, fonts, plugins, APIs) remain subject to their respective license terms
- MDM Solutions reserves the right to showcase the completed project in its portfolio unless otherwise agreed in writing
7. Revisions & Change Requests
Each project proposal specifies the number of revision rounds included. Additional revisions or changes beyond the agreed scope will be quoted separately and require written approval before implementation. Major scope changes may require a revised proposal with updated timeline and pricing.
8. Warranties & Disclaimers
MDM Solutions warrants that all deliverables will be developed with professional skill and care. We provide a 30-day bug-fix warranty after project launch for any defects in our deliverables.
However, we do not guarantee specific business results (traffic, revenue, rankings) unless explicitly stated in a performance-based agreement. Our services are provided "as is" beyond the warranty period, and we disclaim all implied warranties to the maximum extent permitted by law.
9. Limitation of Liability
To the maximum extent permitted by law, MDM Solutions's total liability for any claims arising from or related to our services shall not exceed the total amount paid by the client for the specific project in question. We shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.
10. Termination & Cancellation
- Either party may terminate a project with 14 days' written notice
- Upon termination, the client is responsible for payment of all work completed up to the termination date
- The initial deposit is non-refundable and covers discovery, planning, and initial development work
- All completed deliverables will be handed over upon settlement of outstanding payments
11. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of the project, including business strategies, technical specifications, credentials, and financial information. This obligation survives the termination of the engagement.
12. Website Usage
By using this website, you agree not to:
- Use the website for any unlawful purpose
- Attempt to gain unauthorized access to our systems or data
- Reproduce, distribute, or modify any content without written permission
- Interfere with the proper functioning of the website
13. Governing Law
These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Kakinada, Andhra Pradesh.
14. Changes to These Terms
